We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of our services.
User Accounts
When you create an account with us or submit information through our website, you are responsible for:

- Providing accurate and up-to-date information
- Notifying us immediately of any unauthorized access

Upon full payment for a project, intellectual property rights for custom deliverables will be transferred to the client as outlined in the project agreement. Proc8 retains the right to use general knowledge, techniques, and non-proprietary components developed during the project.
Client Content
You retain ownership of any content, data, or materials you provide to us for use in a project ("Client Content"). By providing Client Content, you grant us a non-exclusive license to use, modify, and incorporate it solely for the purpose of delivering the agreed-upon services.
You represent and warrant that you own or have the necessary rights to all Client Content and that its use does not infringe on any third party's rights.
Payment Terms
Payment terms, including pricing, milestones, and schedules, will be detailed in the project agreement. General payment terms include:
- Invoices are due within 14 days of issuance unless otherwise agreed
- Late payments may incur interest charges as outlined in the agreement
- All fees are non-refundable unless expressly stated otherwise
- We reserve the right to suspend work on any project with outstanding payments
Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of the engagement. Confidential information includes business plans, technical data, trade secrets, and any information marked as confidential.
This obligation of confidentiality survives the termination of these Terms and any project agreement for a period of two (2) years.
Limitation of Liability
To the maximum extent permitted by law, Proc8 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our services.
Our total liability for any claim arising from these Terms or our services shall not exceed the total amount paid by you to Proc8 in the twelve (12) months preceding the claim.
Indemnification
You agree to indemnify and hold harmless Proc8, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising out of your use of our services, violation of these Terms, or infringement of any third party's rights.
Termination
Either party may terminate the service relationship by providing written notice as specified in the project agreement. Upon termination:
- All outstanding fees become immediately due and payable
- Each party shall return or destroy any confidential information of the other party
- Sections relating to intellectual property, limitation of liability, and confidentiality shall survive termination
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Proc8 operates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of the applicable jurisdiction.
Changes to Terms
We reserve the right to update or modify these Terms at any time. We will notify you of significant changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after changes are posted constitutes acceptance of the revised Terms.
